Villeroy & Boch postpones the Annual General Meeting
Villeroy & Boch AG is postponing the Annual General Meeting, previously scheduled for 27 March 2020 in Merzig. This has just been decided by the company's management board.
The reason for this decision is the rapidly spreading infection with the corona virus (Sars-CoV-2). The Ministry of Social Affairs, Health, Women and Family of the German federal state Saarland has issued a general decree to enforce the Infection Protection Act on event and operating bans on the occasion of the corona pandemic of 16 March 2020, banning all events, meetings and gatherings with more than 5 persons throughout the state until 20 April 2020. On this basis, the responsible local police authority in Merzig has prohibited the holding of the general meeting.
The health of the shareholders, the employees of Villeroy & Boch AG and its service providers is a top priority for the company. By cancelling the Annual General Meeting, Villeroy & Boch wishes to make its contribution to curbing the spread of the corona virus.
Among other things, the cancellation of the Annual General Meeting postpones the resolution on the appropriation of the balance sheet profit for 2019 and the corresponding payment of the dividend.
The Annual General Meeting is to be rescheduled to a new date within the eight-month period of the current financial year as required by German stock corporation law. The Villeroy & Boch AG will inform its shareholders and the public in good time about further planning.
